Davar Communities — Leader Agreement

Welcome. If you're reading this, you're about to open a community on Davar Communities — a place where your calling and your livelihood can finally sit at the same table. We wrote this agreement in plain language. It covers how you get paid, what you're responsible for, and what we're responsible for. Read it once, all the way through. If something isn't clear, email us at support@davarcommunities.com before you sign — that's what we're here for.


1. Who this agreement is between

This Leader Agreement (the "Agreement") is a contract between you (the "Leader" — the person who creates and runs a community on the platform) and Solomon Websites Inc., a corporation incorporated in the Province of Alberta, Canada ("Davar Communities," "we," "us," or "our"), which operates the Davar Communities platform (the "Platform" or the "Service").

By creating a community, checking the attestation box at onboarding, or otherwise using the Platform as a Leader, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to bind that organization.

This Agreement governs your relationship with us as a Leader. Your members are bound by the separate Member Terms of Service, and payments and refunds are governed by the Refund Policy and Privacy Policy, all published in our /legal section. Where this Agreement refers to the "Community Guidelines" or the "Statement of Faith," those documents are incorporated into this Agreement by reference.

2. Eligibility

You must be at least 18 years old to be a Leader. You must provide accurate, complete, and current information when you register and keep it up to date. Providing false information is a breach of this Agreement and may result in suspension or termination.

3. Solomon Websites Inc. is the Merchant of Record

When a member subscribes to your community, they are buying from Solomon Websites Inc. (operating as Davar Communities), not directly from you. Solomon Websites Inc. is the Merchant of Record for all member subscriptions. We process those payments through Stripe and Stripe Connect, handle the payment relationship with the member's card network, and then pay your earnings out to you.

This means the charge a member sees comes from Davar Communities, the receipt comes from Davar Communities, and the payment-dispute process runs through Davar Communities. It also means you rely on us — not Stripe directly — for risk and account notices (see Section 12).

4. Pricing and billing — your subscription to Davar Communities

  • Your subscription to operate a community costs USD $99 per month, or USD $990 per year (a savings versus paying monthly), per community.
  • You will be billed at the end of the 14-day trial (on day 14) unless you cancel before then. Billing happens whether or not you have published your community.
  • The trial is one per Davar Communities customer, and applies only to your first community. Additional communities are billed from day one.
  • All amounts are in US Dollars (USD) only. If your card is denominated in another currency, your bank or card network sets the exchange rate.

5. What you can charge your members

  • You set your members' price. You may offer your community free, or charge at least USD $4.99 per month.
  • Davar Communities charges a 0% platform fee on member subscriptions. We do not take a cut of what your members pay you.
  • You absorb the Stripe payment-processing fees on member subscriptions. Those fees are deducted before your earnings are paid out.
  • Member prices are in USD. There is no member trial.

6. Payouts, chargebacks, and reserves

6.1 — Chargeback pass-through. When a member disputes a charge (a "chargeback"), the disputed amount plus any chargeback fee charged by the card network or Stripe (typically USD $15–25) is your responsibility. Davar Communities may deduct the disputed amount and the chargeback fee from your next payout (or any future payout). If your payouts are insufficient to cover the amount, the balance remains owed to Davar Communities.

6.2 — Rolling reserve. To protect against chargebacks, refunds, and fraud, Davar Communities may apply a rolling reserve of up to 15% of your earnings, held for up to 30 days before release. If applied, the reserve is released on a rolling basis as each holding period ends. We may introduce or adjust a reserve if your dispute or risk profile changes; we'll tell you if we do.

6.3 — Dispute-response cooperation. If a member disputes a charge, you agree to cooperate and provide any evidence we request within 48 hours of our request. Disputes have hard deadlines set by the card networks; if you don't respond in time, the dispute is likely lost and the chargeback pass-through in Section 6.1 applies.

7. Refunds — your authority and your responsibility

You decide refunds for your members. Davar Communities does not refund members on your behalf, and there is no self-serve refund button for members. Instead:

  • A member who wants a refund contacts you (by direct message or email).
  • You evaluate the request and decide whether to issue a full refund, a partial refund, or none.
  • You issue the refund using the "Refund this member" tool in your Leader dashboard.
  • The refund amount is deducted from your next payout.

The full member-facing rules are in the Refund Policy at /legal/refunds. If you want a refund of your own $99 platform fee, email support@davarcommunities.com — Davar Communities issues those at its discretion (see the Refund Policy).

8. Taxes

You are solely responsible for your own taxes — income tax, sales tax, GST/HST, VAT, or any other tax that applies to your earnings, wherever you live and operate. Davar Communities does not withhold or remit taxes on your behalf, and nothing in this Agreement is tax advice.

You acknowledge that Stripe Connect automatically generates a 1099-K for US Leaders who earn USD $600 or more in a calendar year, and that thresholds and forms may change as tax rules change. Keep your tax information current in your Stripe Connect account.

9. Category attestation and restricted businesses

When you onboard, you attest to the category of your community and your business. You agree:

  • Your attested category is accurate, and you will keep it accurate.
  • You will not operate any business that Stripe restricts or prohibits. The current list is maintained by Stripe at https://stripe.com/restricted-businesses, and you are responsible for reviewing it.
  • If your community drifts into a different category or into restricted territory, Davar Communities may suspend or terminate your community (see Section 14).

9.1 — Ongoing content audit. You consent to a quarterly category-drift review, in which Davar Communities reviews your community to confirm it still matches your attested category and complies with this Agreement, the Community Guidelines, and the Statement of Faith.

9.2 — Re-verification. You agree to provide additional identity, KYC ("know your customer"), or tax information at any point during the life of your account if Davar Communities or Stripe requests it. Failure to complete re-verification may result in held payouts or suspension.

10. Statement of Faith

When you onboard, you also attest to our Statement of Faith. This attestation is a binary yes/no — we do not store a denominational profile or any other special-category religious data about you (see the Privacy Policy). Drift away from the Statement of Faith is grounds for removal from the Platform (see Section 14).

11. Community Guidelines and enforcement authority

Your community must comply with the Community Guidelines, which are the operative conduct code for the Platform. Davar Communities reserves the standing right to review, suspend, or terminate any community or Leader that violates this Agreement, the Community Guidelines, or the Statement of Faith. This enforcement authority is ongoing and joint across all three documents.

12. Stripe risk and fraud notices — Davar Communities is your only channel

Because your members' communities run on Stripe Express accounts, Stripe will not contact you directly about risk, fraud, or account-status events. Davar Communities is the sole channel for these notices. You acknowledge and agree that:

  • Davar Communities receives Stripe events such as account.updated and account-requirement or risk notifications on your behalf.
  • Davar Communities will relay the relevant information to you.
  • It is your responsibility to act on those notices promptly (for example, by completing re-verification or supplying requested documentation).

13. Kingdom Partners affiliate program

Davar Communities runs an affiliate program called Kingdom Partners:

  • A Kingdom Partner who refers a new Leader earns a 60/40 split of the $99 monthly platform fee — that is, the referrer's share is paid on a lifetime recurring basis for as long as the referred Leader keeps paying.
  • Chargeback / clawback: If a referred payment is later refunded or charged back, the corresponding affiliate commission is clawed back from the affiliate's future earnings.

Full affiliate terms, including cookie attribution (see the Privacy Policy), apply to participation.

14. Suspension, termination, and exit

14.1 — Grounds. Davar Communities may suspend or terminate your community or your account for: breach of this Agreement; violation of the Community Guidelines; drift from your attested category; drift into a restricted category; drift from the Statement of Faith; an excessive dispute/chargeback rate (see Section 14.2); or non-payment of your platform fee.

14.2 — Dispute-rate threshold. Davar Communities may terminate a Leader whose dispute (chargeback) rate exceeds platform thresholds. As a reference point, Stripe's internal risk alerts flag a 0.5% dispute rate at the Leader level and a 0.3% dispute rate at the platform level.

14.3 — Cure period. For curable breaches, Davar Communities will give you 30 days' notice and an opportunity to cure before terminating. For severe breaches — including fraud, restricted-category content, or an explicit violation of the Statement of Faith — termination may be immediate.

14.4 — Exit process. When a community is terminated or closed:

  • Member subscriptions end at the end of the current paid period.
  • Affected members are refunded for the unused portion of their period from your final payout (see the Refund Policy).
  • Your community data is archived for 90 days, then permanently deleted (hard-deleted, including stored media).
  • Your final payout is issued minus any rolling reserve, outstanding chargebacks, fees, and refunds owed.

15. Support

For anything you need, contact Davar Communities — not Stripe — at support@davarcommunities.com. We aim to respond within 48 hours, every day of the week. Billing-cadence changes (switching between monthly and annual) are handled through support; there is no self-serve toggle for that.

16. Intellectual property and content license

The Platform and its original content, features, and functionality are and remain the exclusive property of Solomon Websites Inc. and its licensors.

You retain ownership of the content you and your community create. By posting content to the Platform, you grant Davar Communities a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content solely for the purpose of operating, providing, and promoting the Service. This license ends when your content is deleted from the Platform, except for copies retained in backups or as required by law.

17. Warranty disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Davar Communities does not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected. You use the Service at your own risk.

18. Limitation of liability

To the maximum extent permitted by applicable law, Davar Communities (Solomon Websites Inc.) and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to this Agreement or your use of the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to this Agreement will not exceed the greater of (a) the total platform fees you paid to Davar Communities in the three months immediately before the event giving rise to the claim, or (b) USD $100.

19. Indemnification

You agree to defend, indemnify, and hold harmless Davar Communities (Solomon Websites Inc.) and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your content; (b) your community and the way you operate it; (c) your breach of this Agreement, the Community Guidelines, or the Statement of Faith; (d) your violation of any law or any third party's rights; or (e) any dispute between you and your members.

20. Dispute resolution, governing law, and class-action waiver

This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You and Davar Communities submit to the exclusive jurisdiction of the courts located in Alberta, Canada for any dispute not subject to arbitration below.

The parties will first attempt to resolve any dispute informally by contacting support@davarcommunities.com. If the dispute is not resolved within 30 days, it will be finally resolved by binding arbitration administered in Alberta, Canada under the applicable Alberta arbitration rules, conducted in English, except that either party may bring an individual claim in small-claims court.

Class-action waiver: To the maximum extent permitted by law, you and Davar Communities agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

21. Force majeure

Davar Communities is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, failures of the internet or third-party service providers (including our payment processor and our email, storage, hosting, and infrastructure providers), power outages, or pandemics.

22. Changes to this Agreement

We may modify this Agreement from time to time. If a change is material, we will provide at least 30 days' notice before it takes effect, by email or in-Platform notice. By continuing to use the Service after a change takes effect, you agree to the revised Agreement. If you do not agree, you may stop using the Service and close your account.

23. Assignment

You may not assign or transfer this Agreement, in whole or in part, without our prior written consent. Davar Communities may assign this Agreement, including in connection with a merger, acquisition, reorganization, or sale of assets. This Agreement binds and benefits the parties' permitted successors and assigns.

24. Severability and entire agreement

If any provision of this Agreement is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. This Agreement, together with the documents it incorporates by reference (the Community Guidelines, the Statement of Faith, the Refund Policy, and the Privacy Policy), constitutes the entire agreement between you and Davar Communities regarding the Service and supersedes all prior agreements, including any prior Solomon Websites Inc. terms. our failure to enforce any provision is not a waiver of that provision.
